1. Definitions
Works: All labour, services, and materials supplied by the Company.
Quotation: A written offer outlining the scope and cost of the Works.
Contract: The agreement formed when a quotation is accepted.
Variation: Any change to the scope, materials, design, or programme of Works.
2. Quotations and Estimates
2.1 All quotations are valid for 30 days from the date of issue unless otherwise stated.
2.2 Unless stated as a fixed price, quotations are estimates only and may be subject to change due to unforeseen conditions, price increases, or client-requested variations.
2.3 Quotations exclude VAT unless explicitly stated.
3. Acceptance of Contract
3.1 A Contract is formed upon written acceptance of a quotation, payment of a deposit, or commencement of Works.
3.2 Any terms proposed by the Client that differ from these Terms shall not apply unless agreed in writing by the Company.
4. Payments
4.1 A deposit of [percentage or amount] may be required prior to commencement of Works.
4.2 Interim payments may be required for longer projects and will be detailed in the quotation or payment schedule.
4.3 Final payment is due within [e.g. 7/14 days] of completion or invoice date, whichever is earlier.
4.4 Late payments may incur interest at [e.g. 4% above the Bank of England base rate], calculated daily.
4.5 The Company reserves the right to suspend Works if payments are overdue.
5. Variations
5.1 Any Variation requested by the Client must be agreed in writing before execution.
5.2 Variations may affect the completion date and overall cost.
5.3 Additional work not included in the original quotation will be charged separately.
6. Programme and Delays
6.1 Any completion dates provided are estimates only.
6.2 The Company shall not be liable for delays caused by events beyond its control, including but not limited to weather conditions, material shortages, third-party contractors, or Client delays.
6.3 Reasonable extensions of time shall apply where delays occur.
7. Client Responsibilities
7.1 The Client shall ensure safe and reasonable access to the site throughout the Works.
7.2 The Client must obtain any necessary permissions, planning approvals, or consents unless otherwise agreed in writing.
7.3 The Client is responsible for removing valuable or fragile items from the work area.
8. Health and Safety
8.1 The Company will comply with all applicable health and safety legislation.
8.2 The Client must ensure the site is safe and free from hazards that could affect the Works.
8.3 Children and unauthorised persons must be kept away from the work area.
9. Materials and Ownership
9.1 All materials supplied remain the property of the Company until full payment is received.
9.2 Materials may vary slightly in appearance due to manufacturing or supply differences.
10. Defects and Warranty
10.1 The Company warrants that Works will be carried out with reasonable skill and care.
10.2 Any defects must be reported in writing within [e.g. 14 days] of completion.
10.3 The warranty does not cover fair wear and tear, misuse, lack of maintenance, or third‑party interference.
11. Damage and Liability
11.1 The Company will take reasonable care to avoid damage to property; however, the Client acknowledges that construction work may involve some disruption or minor damage.
11.2 The Company shall not be liable for indirect or consequential losses.
11.3 Liability is limited to the value of the Contract, except in cases of death or personal injury caused by negligence.
12. Insurance
12.1 The Company maintains appropriate public liability and employer’s liability insurance.
12.2 Proof of insurance can be provided upon request.
13. Suspension and Termination
13.1 The Company may terminate or suspend the Contract if the Client breaches these Terms or fails to make payment.
13.2 The Client may terminate the Contract by written notice but shall remain liable for work completed and materials ordered to date.
14. Force Majeure
The Company shall not be liable for failure or delay in performance caused by events beyond its reasonable control.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
16. Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior discussions or agreements.
